I just ordered a new mobo and cpu, is it necessary to do a clean install of w7 and fsx? or can I just put the new hardware in and fire up fsx?

+1. There's an itsy-bitsy, tiny weeny, very small, miniscule chance you can do it but I think you'll save yourself many hours of grief by formatting the HDD and doing a complete reload of everything.
